IMPORTANT – WARRANTY REGISTRATION

Any advertised or agreed warranty exceeding 12 months must be registered with LumenUK within 30 calendar days of the LumenUK invoice date. Products not registered within this period are limited to a 12-month Product-Only Limited Warranty.

Warranty registration must be completed using the registration process notified by LumenUK at the time of sale or on request.

These terms are intended for B2B use and should be read together with LumenUK's wider Terms & Conditions of Sale and any project-specific warranty confirmation. Where project-specific written terms conflict with these general warranty terms, the project-specific written terms will take precedence to the extent of that conflict.

1. Scope of Warranty

1.1 These warranty terms apply to Products supplied by LumenUK Limited ("LumenUK") to a Buyer acting in the course of its trade, business or profession and are intended for business-to-business transactions only.

1.2 Subject to these Terms, LumenUK warrants that Products supplied by it shall, at the date of supply:

a) be of satisfactory quality;

b) materially conform to their published LumenUK specification;

c) be reasonably fit for any particular purpose expressly confirmed by LumenUK in writing; and

d) be free from material defects in materials and workmanship.

1.3 The warranty provided under this clause is a commercial warranty offered by LumenUK and does not exclude or restrict any right or liability which cannot lawfully be excluded or restricted.

2. Warranty Periods

2.1 Warranty periods vary between Products and product ranges.

2.2 The applicable warranty period shall be the period stated by LumenUK at the time of sale in one or more of the following:

a) the LumenUK quotation or tender;

b) the order acknowledgement;

c) a project-specific warranty document or written confirmation;

d) the Product data sheet;

e) the applicable LumenUK price list; or

f) other written confirmation issued by LumenUK.

2.3 Where documents contain different warranty periods, any project-specific warranty confirmation or order acknowledgement issued by LumenUK shall take precedence.

2.4 Unless expressly agreed otherwise in writing, the warranty period commences on the date of the relevant LumenUK invoice and not the date of installation, commissioning, practical completion, resale or occupation of the premises.

2.5 Installation or commissioning of a Product at a later date shall not extend or restart the warranty period unless LumenUK expressly agrees otherwise in writing.

3. Warranty Registration

3.1 To qualify for any advertised or agreed warranty exceeding twelve months, the Products or project must be registered with LumenUK within 30 calendar days of the LumenUK invoice date.

3.2 Registration must be completed using the warranty registration process notified by LumenUK at the time of sale or on request.

3.3 The registration must contain such information as LumenUK reasonably requires, which may include:

a) LumenUK invoice number;

b) customer name;

c) Product codes and quantities;

d) project or installation address;

e) installation or contractor details; and

f) any other information reasonably required to identify the Products and project.

3.4 Registration shall only be considered complete when accepted or acknowledged by LumenUK.

3.5 Where Products are not registered within 30 calendar days of the LumenUK invoice date, the Products shall automatically be limited to a 12-month Product-Only Limited Warranty commencing on the original LumenUK invoice date, irrespective of any longer warranty referred to in catalogues, data sheets, packaging, price lists or other marketing material.

3.6 LumenUK may agree to accept late registration at its sole discretion. Acceptance of a late registration on one occasion shall not oblige LumenUK to accept late registrations subsequently.

3.7 Extended warranty cover applies only to Products purchased new from LumenUK or, where expressly permitted by LumenUK, through an authorised LumenUK distributor or reseller. Extended warranty cover does not apply to second-hand, refurbished, auctioned or previously installed Products unless LumenUK expressly confirms otherwise in writing.

3.8 Where LumenUK issues a warranty registration number, certificate or confirmation, the Buyer shall retain that confirmation and provide it when making a warranty claim if requested by LumenUK.

4. Product-Only Warranty

4.1 Unless an On-Site Warranty has been expressly confirmed by LumenUK in writing, all warranties are Product-Only Warranties.

4.2 Under a Product-Only Warranty, LumenUK's obligation shall be limited, at LumenUK's option, to:

a) repairing the defective Product;

b) repairing or replacing the defective component;

c) replacing the Product with the same Product;

d) replacing it with a reasonably equivalent Product where the original Product is obsolete or unavailable; or

e) issuing an appropriate credit up to the net invoiced purchase price of the defective Product.

4.3 A Product-Only Warranty does not include the cost of:

a) fault finding at the installation site;

b) electricians, engineers, installers or other labour;

c) removal or disconnection of the Product;

d) reinstallation or recommissioning;

e) scaffolding, towers, cherry pickers or other access equipment;

f) ceiling removal or reinstatement;

g) decorations, making good or other building works;

h) traffic management, permits or site supervision;

i) out-of-hours working; or

j) any other consequential or ancillary cost, unless expressly agreed otherwise by LumenUK in writing.

5. On-Site Warranty

5.1 An On-Site Warranty applies only to a specific project where LumenUK has expressly confirmed in writing that On-Site Warranty cover applies.

5.2 The inclusion of an On-Site Warranty on another Product, quotation, catalogue, price list or previous project does not imply that On-Site Warranty applies to any other order or project.

5.3 Where a Product is described, for example, as having a "7 Year Product + 2 Year On-Site Warranty", the two-year On-Site Warranty runs concurrently with the first two years of the Product Warranty and is not an additional two years following expiry of the Product Warranty.

5.4 An On-Site Warranty shall only apply where LumenUK has first accepted that the Product failure constitutes a valid warranty claim.

5.5 Subject to these Terms, an On-Site Warranty may include reasonable direct labour costs required to diagnose the accepted Product fault, remove the defective Product or component, install the repaired or replacement Product or component, and undertake reasonable recommissioning directly arising from the replacement.

6. Choice of Installer and Approval of Costs

6.1 The Buyer may request that the original installer carries out warranty works and may submit a quotation for those works to LumenUK.

6.2 LumenUK may approve the original installer where LumenUK considers the quotation and proposed work reasonable.

6.3 Alternatively, LumenUK may appoint its own qualified electrician, engineer, installer or contractor to undertake the work.

6.4 LumenUK shall retain the final decision as to which electrician, engineer or contractor carries out work under an On-Site Warranty, having regard to cost, availability, competence, location and the nature of the work.

6.5 No contractor, installer, Buyer or third party may incur costs on behalf of LumenUK without LumenUK's prior written authorisation.

6.6 LumenUK shall not be obliged to reimburse invoices, labour charges, access costs or other expenditure incurred without such prior written approval.

6.7 Unless specifically included within the written project warranty, an On-Site Warranty does not include travel, mileage, accommodation, subsistence, specialist access equipment, cranes, traffic management, permits, asbestos-related works, removal or reinstatement of ceilings or building fabric, decoration or making good, restricted-hours premiums, or other exceptional site costs. Such costs require separate written approval from LumenUK before being incurred.

7. Making a Warranty Claim

7.1 The Buyer must notify LumenUK of an alleged warranty defect promptly after discovering it and, where reasonably practicable, within 14 days of discovery.

7.2 Claims should include sufficient information for LumenUK to identify and investigate the fault, including where applicable:

a) LumenUK invoice number;

b) Product code;

c) serial number, date code or batch number;

d) quantity originally installed;

e) quantity allegedly failed;

f) installation address;

g) date of installation;

h) description of the fault;

i) photographs or video;

j) electrical test information; and

k) details of controls or other equipment connected to the Product.

7.3 LumenUK may require a copy of the original LumenUK invoice, order acknowledgement, warranty registration confirmation or other reasonable evidence of purchase before accepting or processing a warranty claim.

7.4 LumenUK may require the Buyer to undertake reasonable diagnostic procedures before accepting a warranty claim.

7.5 LumenUK may require one or more allegedly defective Products to be returned for technical examination before accepting a claim.

7.6 Products must not be returned without following LumenUK's returns or RMA procedure.

7.7 Unless On-Site Warranty cover applies or LumenUK agrees otherwise, the Buyer shall be responsible for the reasonable cost of returning Products to LumenUK.

7.8 Claims relating to shortages, incorrect deliveries, transit damage or late delivery are not warranty claims and shall be dealt with under the applicable delivery and claims provisions of LumenUK's Terms & Conditions of Sale.

8. Inspection and No-Fault-Found Products

8.1 LumenUK shall be entitled to inspect and test any Product which is the subject of a warranty claim.

8.2 Where inspection establishes that no defect exists, the Product operates within its published specification, the fault has been caused by installation, wiring, configuration or other equipment, or the alleged defect is otherwise excluded under these Terms, LumenUK may reject the warranty claim.

8.3 LumenUK reserves the right to charge a reasonable inspection, testing, call-out, collection or return delivery charge for Products submitted as warranty claims where no warrantable defect is established.

9. Warranty Remedies

9.1 Where LumenUK accepts a valid claim, LumenUK shall determine the appropriate remedy and may repair or replace the Product, replace a component, provide an equivalent Product or issue a credit.

9.2 LumenUK shall not be obliged to replace an entire installation, batch or project merely because one or more Products have failed unless LumenUK determines that a wider manufacturing defect exists.

9.3 Replacement Products need not be identical where the original Product has been discontinued, modified or superseded.

9.4 LumenUK may provide the nearest reasonably equivalent Product in terms of function and performance.

9.5 Differences arising from technological development, including dimensions, LED appearance, colour, finish, lumen output, control gear or construction, shall not themselves constitute a breach of warranty where the replacement is reasonably equivalent in function and performance.

9.6 Any Product or component removed and replaced by LumenUK under warranty shall become the property of LumenUK where LumenUK requires its return.

10. Warranty on Repairs and Replacements

10.1 Repair or replacement does not restart the original Product warranty.

10.2 Replacement Products shall remain warranted for the remainder of the original warranty period applying to the Product they replace.

10.3 A repair undertaken by LumenUK shall be warranted for the longer of the remainder of the original Product warranty or 90 days from return of the repaired Product.

11. General Warranty Exclusions

11.1 The warranty shall not apply to defects, failure or damage caused wholly or partly by:

a) fair wear and tear;

b) improper storage, handling or transportation after risk has passed to the Buyer;

c) incorrect installation;

d) installation contrary to LumenUK instructions or applicable regulations;

e) installation or electrical work undertaken by an inadequately qualified or competent person;

f) incorrect mains voltage, frequency, polarity or wiring;

g) voltage spikes, surges, transients, lightning, harmonics or unstable electrical supplies;

h) incorrect earthing;

i) incorrect wiring, addressing, programming, configuration, commissioning or setup of DALI, DALI-2, 0-10V, mains, emergency, sensor, wireless or other lighting control systems;

j) incompatibility with third-party drivers, dimmers, control systems, sensors, software or other equipment unless compatibility has expressly been confirmed by LumenUK;

k) use outside the Product's published temperature, humidity, IP, IK or environmental specification;

l) water ingress arising from incorrect installation, cabling, glands, seals or penetrations;

m) condensation or inadequate ventilation;

n) covering Products with thermal insulation where they are not approved for such use;

o) corrosive, chemical, saline or otherwise unsuitable environments;

p) misuse, negligence, accident or abnormal operating conditions;

q) vandalism, malicious damage, impact, fire, flood or other external causes;

r) rodents, insects or contamination;

s) unauthorised dismantling, alteration, modification or repair;

t) use of replacement components not approved by LumenUK;

u) failure to undertake maintenance reasonably required for the Product;

v) failure of equipment supplied by another manufacturer; or

w) circumstances outside the reasonable control of LumenUK.

12. Product Identification and Labels

12.1 The original LumenUK Product identification, serial number, date code and safety labels must remain legible.

12.2 The warranty may be rejected where labels, serial numbers or date codes have been removed, altered, obscured or rendered illegible such that LumenUK cannot reasonably identify the Product.

12.3 The addition of a customer's own asset, stock or identification label shall not by itself invalidate the warranty, provided that the label does not obscure LumenUK identification or safety information, interfere with heat dissipation, alter the Product, or contribute to the alleged failure.

13. Lighting-Specific Conditions

13.1 Normal LED lumen depreciation over time is not a defect where the Product remains within its published performance criteria.

13.2 Minor changes in LED colour appearance, colour temperature, output or appearance that remain within published manufacturing tolerances shall not constitute a Product defect.

13.3 Published lumen maintenance figures, including L70, L80, L90 or B-values, are performance projections based upon specified operating conditions and do not constitute a guarantee that every individual Product will operate for the stated number of hours.

13.4 An extended warranty applicable to a luminaire does not automatically extend to emergency batteries, standalone batteries, replaceable cells, lamps or other consumable or wear components.

13.5 Such components carry only the separate warranty period specifically stated by LumenUK for that component at the date of sale, unless LumenUK expressly confirms otherwise in writing.

13.6 Replacement of an emergency battery or other consumable component does not extend the warranty of the complete luminaire.

13.7 Where a Product specification, data sheet, quotation or project warranty specifies maximum annual operating hours, switching cycles, maintained emergency operation or other usage limits, continued warranty cover is conditional upon the Product being operated within those limits. Excessive operating hours or operation materially outside the stated design profile may result in the warranty period being adjusted or the claim being rejected where such use caused or materially contributed to the failure.

13.8 The warranty does not guarantee maintenance of the Product's initial lumen output, colour characteristics or cosmetic appearance throughout the full warranty period. Normal ageing and deterioration within the Product's published lumen-maintenance and colour-tolerance parameters shall not constitute a defect.

14. Installation and System Design

14.1 Unless LumenUK has expressly undertaken system design responsibility in writing, the Buyer, contractor or installer remains responsible for determining that the Products are suitable for the intended installation and application.

14.2 LumenUK providing technical information, lighting calculations, drawings or other assistance does not transfer responsibility for the installation to LumenUK unless expressly agreed in writing.

14.3 The Buyer shall ensure that Products are installed, commissioned and maintained in accordance with LumenUK instructions, applicable electrical and building regulations, relevant British Standards where applicable, and accepted industry practice.

15. Access to Site

15.1 Where an On-Site Warranty applies, the Buyer shall provide LumenUK and its contractors with reasonable access to the site, a safe working environment, relevant inductions and permits, access to electrical supplies and distribution equipment where necessary, and reasonable cooperation in investigating the fault.

15.2 LumenUK shall not be responsible for delays caused by denial of access, site restrictions or unsafe site conditions.

16. Outstanding Accounts

16.1 LumenUK may suspend performance of any extended or voluntary warranty obligation while undisputed sums due and payable by the Buyer to LumenUK remain overdue.

16.2 Settlement of an overdue account shall not extend the original warranty expiry date.

16.3 The existence or investigation of a warranty claim shall not entitle the Buyer to withhold payment of undisputed invoices, set off sums against amounts due to LumenUK, cancel other orders or repudiate any contract, except where expressly permitted under LumenUK's Terms & Conditions of Sale or by law.

17. Resale and Third Parties

17.1 Unless LumenUK expressly agrees otherwise in writing, the warranty is non-transferable and is provided to the original LumenUK Buyer and, where applicable, in respect of the registered project.

17.2 Resale of a Product shall not create a direct contractual relationship between LumenUK and the Buyer's customer unless LumenUK expressly agrees otherwise.

17.3 LumenUK may nevertheless deal directly with an end user, installer or site representative for the purposes of investigating or administering a warranty claim without thereby creating a separate contractual relationship.

17.4 Where LumenUK requires a warranty claim to be processed through its original trade customer, the Buyer shall reasonably cooperate with that process.

18. Costs Incurred Without Authority

18.1 LumenUK shall not be liable for labour, replacement products, access equipment, consequential works or other expenditure commissioned or incurred by the Buyer or any third party without LumenUK's prior written authorisation.

18.2 No customer, installer, contractor or third party has authority to commit LumenUK to expenditure without such approval.

19. Consequential Losses and Liability

19.1 Except where liability cannot lawfully be excluded or restricted, the warranty remedy is limited to the remedies expressly stated in these Terms and remains subject to the exclusions and limitations of liability contained elsewhere in LumenUK's Terms & Conditions of Sale.

19.2 The warranty does not itself provide cover for indirect or consequential losses including loss of profit, loss of business, loss of production, loss of anticipated savings, business interruption or loss of data.

19.3 Subject to any liability which cannot lawfully be excluded or limited, LumenUK's aggregate liability arising under this Warranty in respect of any defective Product shall not exceed the net purchase price invoiced by LumenUK for the affected Product. Where a claim relates to multiple defective Products, LumenUK's liability shall not exceed the aggregate net purchase price of those affected Products.

20. Changes to Warranty Terms

20.1 LumenUK may amend the warranties offered on future Products or orders from time to time.

20.2 Any change shall not retrospectively reduce a warranty already expressly confirmed by LumenUK for an existing registered Product or project.

Extended warranties must be registered within 30 days of the LumenUK invoice date using the warranty registration process notified by LumenUK at the time of sale or on request.
